WSN CLIENT CONTRACT FOR SERVICES

    I. introduction & mission

    1. It is Worship Support Network’s (WSN) passion to honor the Lord through serving his church. We will do our absolute best to cater to your unique needs with professionalism, respect, grace, and understanding. This contract is a summary of what to consistently expect from our coordinators & team members, as well as what we need you to agree upon in order to secure our services with you. We have no desire to trick you into signing something that you might later regret, that is why you will not find complicated legal terms or large passages of unreadable text in this contract, however it should be acknowledged that the expectations listed on this contract are legally binding for both parties (the ministry and all of it's agents, and WSN).
    2. OUR MISSION: WSN's mission is to provide services that maintain and elevate the worship of the local church.

    II. background

    1. The Client is of the opinion that the Company has the necessary qualifications, experience and abilities to provide services to the Client.
    2. The Company is agreeable to providing such services to the Client on the terms and conditions set out in this Agreement.
    3. These Terms and Conditions apply to the Company and all of its contractors and subsidiaries.
    4. IN CONSIDERATION OF the matters described above and of the mutual benefits and obligations set forth in this Agreement, the receipt and sufficiency of which consideration is hereby acknowledged, the Client and The Company (individually the "Party" and collectively the "Parties" to this Agreement) agree as follows:

    III. terms & conditions

    1. GENERAL CONDITIONS
      1. These Terms and Conditions cover all Contracts entered into by a Client with the Company for project types relating to:
        1. Worship Leaders; musicians; sound engineers, Company administrators & support staff.
      2. These Terms and Conditions are subject to change without notification by the Company.
      3. These Terms and Conditions apply to the Company and all of its contractors and subsidiaries.
      4. The Client is agreeable to The Company's Privacy Policy
    2. SERVICES
      1. The Client hereby agrees to engage the Company to provide the Client with services (the "Services") consisting of:
        1. Project support, management, & staffing for Worship Leaders, Musicians, & Sound Engineers.
    3. DELIVERABLES
      1. Any personnel, setlist development, scene files, tracks, or other items required by WSN to complete the project Services.
    4. INTANGIBLES
      1. Knowledge about solutions to problems, methods, software, hardware, or designs.

    IV. DEFINITIONS

    1. MODIFICATION OF THIS AGREEMENT
      1. The Company reserves the right to at any make modifications to this Agreement. Any amendment or modification of this Agreement or additional obligation assumed by either Party in connection with this Agreement will only be binding if evidenced upon the signed or accepted consent of Client or an authorized representative of the Client
    2. ASSIGNMENT
      1. The Company will not voluntarily or by operation of law assign or otherwise transfer its obligations under this Agreement beyond itself, its contractors, or subsidiaries without the prior written consent of the Client.
    3. COMPENSATION
      1. For the Services rendered by The Company as required by this Agreement, the Client will provide compensation (the "Compensation") to the The Company according to the following:
        1. Either before or on the date of the service we will be serving you. If you cannot pay on the day of the event, or:
        2. If you are late on a payment you will be charged a late fee of 10% of the total payment. Invoices are considered past due at midnight on the date of service.
        3. In efforts to make payments easier on the church, all invoices are to be paid online via WSN's electronic invoicing system. Since our desire is to serve with professionalism, all our contractors are capable of delivering in a expert capacity when given at least 3 days notice of material. If material is changed or given to WSN later than three days before a project’s due date, it may affect the quality of work we can deliver. In last minute scenarios, it will be at the WSN Lead Coordinators discretion to issue any discounts for dissatisfied clients based on how late the material was given to the team member.
        4. WSN agrees to keep confidential any, and all information or materials trusted to us in order to deliver our musical expertise.
        5. All mid -week practices will call for an additional $15-$20 fee (please reference the Pricing sheet).
        6. As we’re sure our goals are to have a good standing relationship with each other, we ask that the payment schedule be take seriously with the details below. NOTE: Revisions may be considered via conversations with WSN’s Lead Coordinator.
      2. CURRENCY
        1. Except as otherwise provided in this Agreement, all monetary amounts referred to in this Agreement are in USD (US Dollars).
        2. Except as otherwise provided in this Agreement, acceptable forms of payment are limited to electronic invoice to be paid online using a debit or credit card. Cash, Check, Money Order, & Cashier's Checks are not allowed under this Agreement.
        3. The Client is agreeable to these forms of compensation as listed above and also agrees never to provide any other forms of compensation to a WSN Team Member directly, unless expressly permitted by The Company and its executive team.
      3. CANNOT MAKE PAYMENT
        1. If The Client cannot make a payment for any reason, development on the project will be paused until payment is completed. Future project deliverables may be withheld or canceled until payment is completed.
      4. REIMBURSEMENT OF EXPENSES
        1. The Company will be reimbursed from time to time for all reasonable and necessary expenses incurred by the The Company in connection with providing the Services hereunder.
        2. The Company may choose furnish statements and vouchers to the Client for such expenses. Including but not limited to Services restoration fees accrued by non-payment for Services.

    V. CANCELATION POLICY

    1. The Company will be excused from serving the church for any of these instances: natural disaster, unsafe environment, any type of threat; rendering the project void of all services and payments for however long the environment persists.
    2. If The Client decides to cancel a contract for any reason other than a personnel emergency or a natural disaster, The Client will be charged a cancellation fee of 30% of the original invoice.
    3. The Client will be excused of any cancellation fees if the cancellation is made before 14 days of the event. For emergency bookings (bookings the week of an event) The Company will tentatively secure a position for The Client, once the booking is confirmed by The Client, The CLient will be held accountable for any cancellation fees that follow.

    VI. STATEMENT OF NON-COMPETE

    1. The Client is agreeable that The Company operates off of trust and therefore agrees to the non-complete clause as follows:
      1. The Client will not intentionally or unintentionally side-step The Company's protocols to attempt and offer The Company team members or subsidiaries a job or sub-contract directly.
      2. The Client will not intentionally or unintentionally request The Company team members or subsidiaries to make the Client their new home church.
      3. The Client understands and is agreeable that the actions above will be seen as a breach of contract and The Company reserves the right to terminate the Agreement and any other actions deemed necessary upon said breach.
    2. Should The Client wish to hire a WSN Team Member
      1. If you desire to hire any of our team members - OR, if you're interested in hearing if they looking for a full/part-time opportunity at a church please contact our WSN's coordinator for your city to go through the hiring protocols.
        Please Note: We're huge advocates of our team members finding a church they can call home, and we feel it's even more of a bonus if there's a paid opportunity for them in it. However, we have protocols in place that help articulate the job in detail - both for the benefit of the church and the WSN Team member, and it's our expectation that the protocols are followed by both parties.

    VII. COMMUNICATION PROTOCOL WITH WSN TEAM MEMBERS

    1. In matters pertaining to The Client & their communication with The Company, team members, and subsidiaries - The Client is agreeable to the following the standards and protocol as set forth below:
      1. All communication by text shall be in a "group text" with The Company coordinator line.
      2. All communication by email shall include The Company coordinators by "CC" or (Carbon Copied).
      3. Explanation: There are three reasons why we have this as a protocol and they are as follows:
        1. We try to maintain accountability of all "contractual agreements" and "quality of services provided" between us, our team, and the church by having communication information accessible.
        2. Occasionally last minute emergencies happen, and we want to be able to lift the weight off our team immediately. We strive to be up-to-speed at all times to so that we can seamlessly get another team member on a project to let the person in crisis focus on taking care of their emergency.
        3. We have a desire to help streamline/expedite communication if either the client or team member isn't being responsive.

    VIII. FURTHER DEFINITIONS OF TERMS

    1. ENTIRE AGREEMENT
      1. It is agreed that there is no representation, warranty, collateral agreement or condition affecting this Agreement except as expressly provided in this Agreement.
    2. TITLES/HEADINGS
      1. Headings are inserted for the convenience of the Parties only and are not to be considered when interpreting this Agreement.
    3. GENDER
      1. Words in the singular mean and include the plural and vice versa. Words in the masculine mean and include the feminine and vice versa.
    4. GOVERNING LAW
      1. It is the intention of the Parties to this Agreement that this Agreement and the performance under this Agreement, and all suits and special proceedings under this Agreement, be construed in accordance with and governed, to the exclusion of the law of any other forum, by the laws of the State of Arizona, without regard to the jurisdiction in which any action or special proceeding may be instituted.
    5. SEVERABILITY
      1. In the event that any of the provisions of this Agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this Agreement.
    6. WAIVER
      1. The waiver by either Party of a breach, default, delay or omission of any of the provisions of this Agreement by the other Party will not be construed as a waiver of any subsequent breach of the same or other provisions.
